Thank you for your continued interest in Unicoin!
1/ In my March 30th update, I wrote that I expect SafeBets to invest billions of dollars into unicoins, ultimately making Unicoin the leading cryptocurrency.
It prompted several investors to ask me if such a statement may result in unicoins being classified as a security.
The answer is “No; not under the new SEC Crypto Taxonomy.”
On November 12, 2025, SEC Chairman Atkins said that, to be considered securities, issuers must make explicit and unambiguous promises to engage in essential managerial efforts that lead to the expectation of profits.
SafeBets is not an issuer of unicoins, so even if SafeBets were to make promises, those promises would not make unicoins “securities”.
Out of abundance of caution, though, I wrote “I expect SafeBets to invest..” and an expectation cannot be confused with a promise, let alone “explicit and unambiguous promise.”
2/ My special offer of SafeBets’s shares resulted in numerous requests.
I apologize for the slight delay in sending out our Private Placement Memorandum (PPM). While it was ready by the time of my announcement, I decided to retain a new Legal Advisor and ask him to do an additional review of the PPM.
Given the huge projected scale of SafeBets, I tapped an experienced attorney whom I’ve known since the last century. I met Michael Baroni in 1999, when he was writing this article about me for PROFIT magazine:
Only after the article was published, I learnt that Michael is also an experienced attorney and executive who has served as General Counsel of major corporations, as the President of the Orange County Bar Association, and received the Entertainment Lawyer of the Year award.
I’m very pleased that I can now rely on his advice on how to scale SafeBets up without tripping any regulatory tripwires.
He’s reviewed our Private Placement Memorandum and Subscription Agreement and we will start sending them out tomorrow.
