RESOLUTION
of the Directors of Unicoin Foundation
WHEREAS, the Securities and Exchange Commission’s new Crypto Taxonomy precludes Unicoin from utilizing its original business model (asset-backed, dividend-paying, audited, and public reporting); and
WHEREAS, launching an Initial Coin Offering (ICO) without a compelling business proposition risks precipitating a decline in value, particularly given the current cryptocurrency market sentiment, which fluctuates between “Fear” and “Extreme Fear”;
NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors hereby approves the following actions:

Scheduling of ICO: The Initial Coin Offering is hereby scheduled for September 28, 2026.

Strategic Communication: The period leading up to the ICO shall be used to effectively communicate the advantages of Unicoin’s new strategic direction to a broad audience, with the specific goal of expanding the Unicoin community of holders.
